**General Terms for Products & Services**

Upon selecting a Digital Product (including e-books) or Service (including group or individual coaching programs), you acknowledge and agree to remit the one-time and/or monthly or annual subscription fees as specified (further payment terms may be outlined in separate communications).

Subscription payments will be charged on a pre-paid basis upon your sign-up date, covering the use of the service for the specified monthly or annual subscription period. These payments are non-refundable.

Payments for Digital Products can be made via debit or credit card, or PayPal, on the website.

Payments for Services can be made via debit or credit card, bank transfer, or Paypal. If opting for bank transfer, you must provide proof of transfer to [email protected] before the program's commencement date.

**Digital Products and Services**

By purchasing a Shahrzad Parandeh Digital Product or Service, you commit to paying the applicable fees and recurring fees, if any. Invoices for applicable fees will be issued upon establishing your services and prior to utilizing them. Shahrzad Parandeh reserves the right to modify payment terms and fees with 10 days' advance written notice. You are responsible for settling all signed-up payments for a specific product and service. Should you opt to withdraw from a program, you remain responsible for outstanding payments. However, you may request a one-month service pause by giving written notice at least ten days prior.

Failure to remit payment to Shahrzad Parandeh before the program start date renders you ineligible to commence using the Service, and access to coaching groups will not be granted.

**Cancellations and Refunds**

**Shahrzad Parandeh Digital Products**

Given the nature of Shahrzad Parandeh Digital Products (downloadable digital items), they are not eligible for return or refund.

If your Shahrzad Parandeh Digital Product does not perform as described on your electronic device, please email [email protected] for assistance.

**Guarantees and Warranties**

While Shahrzad Parandeh is committed to providing the best materials, coaching, and programs, any outcomes are solely dependent on your commitment, focus, follow-through, implementation, skills, and communication. You agree to communicate honestly, be receptive to feedback and assistance, and allocate time and energy to fully participate in sessions, programs, or events.

**Confidentiality**

The coaching relationship and all information shared exclusively with Shahrzad Parandeh as part of this relationship are governed by confidentiality principles.

However, please note that the coaching relationship does not constitute a legally confidential relationship, and communications are not protected by legally recognized privilege.

Confidential Information excludes data that Shahrzad Parandeh possessed prior to your disclosure; information shared on social media not exclusively with your Shahrzad Parandeh Coach; publicly known information or industry-standard knowledge; data acquired from a third party without breaching obligations to you; independently developed information by Shahrzad Parandeh without reference to your confidential details; information compelled to disclose by statute, subpoena, or court order; information disclosed to Shahrzad Parandeh, where imminent risk to you or others is reasonably believed; and involvement in illegal activities.

You consent to Shahrzad Parandeh using, sharing, and distributing your story, queries, and developmental journey for coaching purposes with third parties, without divulging personal details such as your name and birth date.

**Limitation of Liability and Indemnity**

Shahrzad Parandeh and any involved party in creating, producing, or delivering Products or Services shall not be liable for direct, indirect, or other damages resulting from your access to or use of the Products or Services. You agree to indemnify and hold Shahrzad Parandeh and its affiliates, directors, officers, employees, agents, contractors, licensors, or any involved party harmless from any claims, liability, losses, costs, and expenses incurred due to your breach of these Terms and Conditions or your use of the Products or Services.

**Waiver**

The failure of either party to enforce any provision of this agreement shall not waive or limit that party’s subsequent right to enforce every provision of this agreement strictly.

**Mutual Non-Disparagement**

Neither party shall publicly or privately disparage the other or their representatives, but shall act in good faith to avoid conduct or communication that might reasonably interfere with the other's business or personal interests.

**Governing Law and Jurisdiction**

These Terms and Conditions, their subject matter, and formation are governed by Canadian law. Both parties agree that Canadian courts shall have exclusive jurisdiction.
